CODE OF CONDUCT
The Advancing Sustainability through Powered Infrastructure for Roadway Electrification
Engineering Research Center (ASPIRE ERC) is committed to providing a productive
environment that is welcoming and safe for all participants, is free from discrimination and harassment, and where all participants are treated with dignity and respect.

Members are expected to be considerate and respectful to others. The ASPIRE ERC prohibits
intimidating, threatening, or harassing conduct, and this policy applies to everyone associated
with the Center. People violating these rules may be asked to leave the Center. Harassment and
discrimination of any kind is a serious issue, will not be tolerated in any form, and includes the
following:

Offensive comments related to race, ethnicity, religion, disability, age, economic status, physical appearance, gender identity or expression, sexual orientation, or physical appearance.
Deliberate intimidation, stalking, following, harassing photography or recording, sustained disruption of talks or other events, inappropriate physical contact, and unwelcome attention.
Any other harassment activity.

Participants asked to stop any harassing behavior are expected to comply immediately. If you are
being harassed, notice someone else being harassed, or have any other concerns, please contact
the Center staff who will work with the appropriate people to resolve the situation. We value
your participation and want to make your experience as productive and rewarding as possible.

ASPIRE MEDIA RLEASE

The person participating in the photography or video activity is referred to as “Participant.”

I, the undersigned, am a Participant or, if Participant is under 18, I am the minor Participant’s parent or legal guardian.

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I (the undersigned), for the purpose of publicizing USU programs or for any other lawful
purpose, hereby grant to Utah State University and its photographers, videographers, editors, contractors, agents, representatives, employees, and assigns (collectively, “USU”), the irrevocable and unrestricted right to (i) take, record, use, and publish photograph(s)/video(s) of or including Participant in any manner and medium; and (ii) to alter, edit, or manipulate the same photograph(s)/video(s)
without restriction, my inspection, or my approval.

I hereby voluntarily release and forever discharge USU from all claims and liability relating to said photograph(s)/video(s).
My signature below indicates that I have read this entire agreement, understand that it affects my legal rights, and understand that it waives my right to sue USU.

PARTICIPATION AND CONFIDENTIALITY AGREEMENT

The National Science Foundation (“NSF”) has established the Advancing Sustainability through Powered Infrastructure for Roadway Electrification Engineering Research Center (“ASPIRE”) at Utah State University (“USU”) (the lead university) in collaboration with core partners Purdue University, University of Texas at El Paso, University of Colorado Boulder, and University of Auckland and additional affiliated partner universities to pursue research, education, diversity and inclusion, and commercialization activities to advance transportation electrification.

This PARTICIPATION AND NON-DISCLOSURE AGREEMENT (“Agreement”) establishes the terms and conditions for you (“I”) to participate in ASPIRE projects.

I, in consideration of the opportunity to participate in ASPIRE projects and in consideration of any wages, financial support, training, and/or research experience associated with ASPIRE projects, hereby agree as follows:

1. Confidential Information. I understand that my University has entered into a “Cooperative Agreement” (a copy of which may be obtained from my University and which is incorporated herein by reference) that includes obligations and duties relating to the safeguarding and protection of “Confidential Information” (which term is defined in the Cooperative Agreement). I agree to comply with all applicable obligations and duties associated with safeguarding, protecting, and using Confidential Information as set forth in the Cooperative Agreement.

2. Data. I understand that the Cooperative Agreement includes obligations and duties relating to “ASPIRE Data” (which term is defined in the Cooperative Agreement). I agree to comply with all applicable obligations and duties associated with the use, management, and care of ASPIRE Data.

3. Intellectual Property. I understand that the Cooperative Agreement and associated ASPIRE Intellectual Property Policy includes obligations and duties relating to intellectual property. I agree to comply with all applicable obligations and duties associated with the ASPIRE Intellectual Property Policy. I understand that my access to or receipt of Confidential Information or ASPIRE Data shall not constitute any type of grant or license to the intellectual property associated therewith.

4. Ownership. I understand and agree that my participation in an ASPIRE project does not confer personal ownership rights to any intellectual property that I might develop as a result of my participation. Ownership rights shall be subject to the ASPIRE Intellectual Property Policy and the policies of my employer (as applicable).

5. Personal Responsibility. I understand and agree that I may be held personally liable if I breach any of the terms or conditions as set forth herein.

6. Conclusion of Participation. I agree that immediately upon termination/completion of my participation in ASPIRE project(s), (a) I will destroy any records in my possession containing any ASPIRE Data or Confidential Information; and (b) I will protect and not disclose to third parties or make unauthorized use of ASPIRE Data or Confidential Information, unless otherwise authorized by the owner of the ASPIRE Data or Confidential Information.

7. Miscellaneous. I understand that USU, as ASPIRE’s lead institution, reserves the right, at any time, to require me to execute a new participation agreement with modified terms as a condition of continued participation with ASPIRE. The Agreement will be governed by the laws of the State of Utah, without regard to conflicts of laws principles. Venue for any lawsuits, claims, or other proceedings between the Parties relating to or arising under the Agreement shall be exclusively in the State of Utah
